1. Acceptance of Terms
These Terms of Service (the «Agreement») constitute a legally binding contract between you (the «Client», «you») and VirtuOps («Platform», «we», «us»), governing your access to and use of the platform available at app.virtuops.io and the website at virtuops.io.
By registering an account, activating a subscription plan, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety, together with the Privacy Policy and any additional terms published on the Platform.
If you are entering into this Agreement on behalf of a legal entity or organisation, you represent and warrant that you have the authority to bind that entity to these terms. In such case, «you» refers to that entity.
If you do not agree to these terms, you must not register an account or use the Platform.
This Agreement is executed in the form of a Public Offer in accordance with the Civil Code of the Republic of Uzbekistan. Acceptance (акцепт) of the Offer is deemed to occur at the moment of completing registration on the Platform.
2. Description of Service
VirtuOps is a cloud-based B2B SaaS platform that enables businesses to automate customer support through AI-powered chatbots deployed across the following communication channels: WhatsApp (via WhatsApp Business API), Telegram (via Telegram Bot API), Instagram (via Instagram Messaging API), and a customisable web widget.
The Platform provides, among other things: AI bot configuration and deployment tools, conversation management, analytics and reporting, team member management, and integration with payment systems.
The Platform is intended for use by businesses and individual entrepreneurs. The use of the Platform for personal, non-commercial purposes is not permitted.
The availability of specific features depends on the subscription plan selected. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, provided that such changes do not materially degrade the core functionality available under your current paid plan during the active subscription period.
We target an uptime of 99.5% per calendar month, excluding scheduled maintenance, third-party outages (WhatsApp, Telegram, Instagram, payment processors), and force majeure events. We do not guarantee uninterrupted or error-free operation of the Platform.
3. Registration and Account
To use the Platform you must register by providing accurate, complete, and current information including your full name, a valid e-mail address, and a mobile phone number for verification purposes.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@virtuops.io if you suspect unauthorised access to your account.
You may not create more than one account per organisation without our prior written consent. You may not transfer your account to another party.
We reserve the right to verify the identity of account holders and to request supporting documentation in accordance with applicable anti-money laundering and know-your-customer requirements of the Republic of Uzbekistan.
You must ensure that all team members added to your organisation account are aware of and comply with this Agreement. You are responsible for the actions of all users operating under your organisation account.
4. Subscription Plans and Payment
4.1 Subscription Plans. The Platform offers the following subscription plans: Free (complimentary, with restricted functionality), Starter, Plus, Pro, and Business. Detailed specifications, limitations, and pricing for each plan are published on the Platform's pricing page and may be updated from time to time.
4.2 Payment. All payments for paid subscription plans are processed exclusively through Paylov (paylov.uz), a licensed payment aggregator certified to the PCI DSS standard and regulated by the Central Bank of the Republic of Uzbekistan. Accepted payment methods are UzCard and Humo.
4.3 Card Tokenisation and Recurring Charges. When you subscribe to a paid plan, your card details are transmitted directly to Paylov via an encrypted channel. We do not store your full card number or CVV code. Paylov issues a unique payment token which we store in encrypted form (AES-256-GCM). On each billing date, an automated system transmits this token to Paylov to initiate the monthly charge. By activating a paid plan, you expressly consent to this recurring charge mechanism.
4.4 Fiscal Receipts. A fiscal receipt (online check) is generated for each payment via the Paylov API and delivered to the e-mail address registered to your account, in accordance with the tax legislation of the Republic of Uzbekistan.
4.5 Plan Upgrades and Downgrades. You may upgrade or downgrade your plan at any time through your account settings. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.
4.6 Refund Policy. Subscription fees are non-refundable except in the following cases: (a) a technical failure attributable to the Platform that rendered the service unavailable for more than 72 consecutive hours during a paid period; (b) you cancel within 24 hours of your initial subscription to a paid plan and have not materially used the paid features. Refund requests must be submitted to support@virtuops.io with supporting documentation. Approved refunds are processed within 10 business days via the original payment method. Paylov's refund procedures apply.
4.7 Non-Payment. If a recurring charge fails, we will attempt to retry the charge. If payment is not received within 7 days of the billing date, your account may be downgraded to the Free plan and access to paid features will be suspended until payment is made.
5. Prohibited Use
You agree not to use the Platform for any of the following purposes, and not to permit any third party to do so:
Spam and unsolicited messaging: sending mass or bulk messages to recipients who have not given explicit prior consent, including in violation of the policies of WhatsApp Business, Telegram, or Instagram.
Violation of third-party platform policies: any use of the Platform that violates the WhatsApp Business API Policy, Telegram API Terms of Service, Instagram Platform Policy, or the terms of any other third-party service integrated with the Platform.
Fraudulent or illegal activity: using the Platform for fraud, phishing, impersonation, money laundering, financing of terrorism, or any other activity that is unlawful under the legislation of the Republic of Uzbekistan or other applicable jurisdictions.
Harmful content: transmitting or facilitating the transmission of content that is defamatory, obscene, hateful, discriminatory, or that infringes the intellectual property or privacy rights of any third party.
Unauthorised resale: reselling, sublicensing, or otherwise providing access to the Platform to third parties without a separate written reseller agreement with VirtuOps.
Reverse engineering: attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform.
Security circumvention: attempting to probe, scan, or test the vulnerability of the Platform or to circumvent any security or authentication measures.
Violation of these prohibitions may result in immediate suspension or termination of your account without refund, and may give rise to civil or criminal liability.
6. Intellectual Property
All intellectual property rights in and to the Platform — including but not limited to the software, algorithms, user interface, design, trademarks, logos, and documentation — are and shall remain the exclusive property of VirtuOps or its licensors. Nothing in this Agreement transfers any intellectual property rights to you.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes during the term of your subscription, subject to the terms of this Agreement.
Your content: you retain all intellectual property rights in the content you create, upload, or configure on the Platform, including bot scripts, knowledge base materials, and conversation data. You grant VirtuOps a limited, non-exclusive licence to process and store such content solely to the extent necessary to provide the Platform's services.
You represent and warrant that you own or have the necessary rights to all content you submit to the Platform, and that such content does not infringe the rights of any third party.
VirtuOps may use anonymised, aggregated data derived from Platform usage for the purposes of improving and developing its services, provided that such data cannot identify you or your customers.
7. Limitation of Liability
7.1 Disclaimer of warranties. The Platform is provided «as is» and «as available». To the maximum extent permitted by applicable law, VirtuOps disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2 Bot content. VirtuOps is not responsible for the content generated or transmitted by bots you configure and deploy on the Platform. You are solely responsible for ensuring that your bots and their outputs comply with all applicable laws and regulations and with the policies of the respective messaging platforms.
7.3 Third-party services. The Platform relies on third-party services including WhatsApp Business API, Telegram Bot API, Instagram Messaging API, and Paylov. VirtuOps is not liable for any disruption, failure, or change in policy of these third-party services.
7.4 Cap on liability. To the maximum extent permitted by applicable law, VirtuOps's total aggregate liability to you for any claim arising out of or relating to this Agreement or the Platform, regardless of the form of action, shall not exceed the total amount of subscription fees paid by you to VirtuOps during the three (3) calendar months immediately preceding the event giving rise to the claim.
7.5 Exclusion of consequential damages. In no event shall VirtuOps be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or reputational harm, even if VirtuOps has been advised of the possibility of such damages.
7.6 Force majeure. VirtuOps shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, government action, internet or telecommunications failures, power outages, or actions of third-party platforms.
8. Termination
8.1 Termination by you. You may cancel your subscription and close your account at any time through your account settings or by contacting support@virtuops.io. Cancellation takes effect at the end of the current billing period. Access to paid features remains available until the end of the period for which you have paid.
8.2 Termination by VirtuOps. We reserve the right to suspend or terminate your account and access to the Platform immediately and without notice if: (a) you breach any material term of this Agreement; (b) you engage in prohibited use as described in Section 5; (c) we are required to do so by applicable law or a competent authority; (d) you fail to make payment within 7 days of the due date.
8.3 Effect of termination. Upon termination for any reason, your right to access the Platform ceases immediately. We will delete your account data within 30 calendar days of termination, subject to any mandatory retention obligations under applicable law. You remain responsible for all fees accrued prior to termination.
8.4 Data export. Before closing your account, you are responsible for exporting any data you wish to retain. VirtuOps is not obligated to provide data after account deletion.
9. Amendments to the Agreement
VirtuOps reserves the right to modify this Agreement at any time. When material changes are made, we will notify you by e-mail to the address registered to your account and/or by posting a prominent notice on the Platform, no less than 14 calendar days before the changes take effect.
Your continued use of the Platform after the effective date of the amended Agreement constitutes your acceptance of the changes. If you do not agree to the amended terms, you must cancel your subscription before the effective date.
For changes required by law or for emergency security reasons, we may implement changes with immediate effect and notify you as soon as practicable.
10. Governing Law and Contacts
This Agreement is governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising out of or in connection with this Agreement shall be resolved by the competent courts of the Republic of Uzbekistan.
